License Agreement

ICETIPS CREATIVE, INC. - SOFTWARE LICENSE AGREEMENT

IMPORTANT: CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS.  BY INSTALLING THIS SOFTWARE, YOU INDICATE YOUR ACCEPTANCE OF THE FOLLOWING ICETIPS CREATIVE, INC. LICENSE AGREEMENT.

This document is a legal agreement between the Licensee and ICETIPS CREATIVE, INC. for the use of the Icetips Previewer (“the product”) software.  Carefully read all the terms and conditions of this agreement.

LICENSE: ICETIPS CREATIVE, INC., as Licensor and in consideration of payment of the appropriate License Fee, grants to Licensee a non-exclusive, non-transferable right to use all copies of the product acquired by and under this agreement. 

OWNERSHIP: This license is not a sale of the original product.  ICETIPS CREATIVE, INC. retains title and ownership of the product.  Licensee owns only the magnetic media and accompanying written materials furnished by ICETIPS CREATIVE, INC. under this agreement.

COPIES: Icetips Previewer and the accompanying written materials, including but not limited to help files and Clarion templates are copyrighted.  Licensee may make one (1) copy of each ITML version acquired solely for backup purposes.  Unauthorized copying of ITML and/or any accompanying written materials is expressly forbidden.  Licensee may be held legally responsible for any copyright infringement that is caused or encouraged by its failure to abide by the terms of this license.

TRANSFERS: Licensee may physically transfer a licensed ITML version from one single computer or file server to another within Licensee's organization provided that the licensed ITML version is used on only one computer or file server at a time.  In no event may Licensee transfer, assign, sub-license, rent, lease, or sell ITML on a temporary or permanent basis except as herein provided.

LIABILITY: In no event shall ICETIPS CREATIVE, INC. be liable for any special, indirect or consequential damages or any damages whatsoever arising out of or in connection with the use or performance of the licensed ITML software.  ICETIPS CREATIVE's, INC. entire liability and Licensee's exclusive remedy shall be, at ICETIPS CREATIVE's, INC. option, the return of the License Fee paid hereunder.

SUPPORT: ICETIPS CREATIVE, INC. will furnish Licensee with techincal support by subscription.  Each annual subscription gives Licensee full access to technical support and all updates and new features that may be added to the product until the subscription expires.  After the expiration of subscription the Licensee is not entitled to any technical support, updates or fixes by ICETIPS CREATIVE, INC.

TERMINATION:  This license is effective until terminated.  This license will terminate automatically without notice from ICETIPS CREATIVE, INC. if Licensee fails to comply with any provision of this license.  Upon termination, Licensee shall destroy all copies of ITML including any modified copies.  Support subscription expiration does not affect this license but frees ICETIPS CREATIVE, INC. from any liability to provide technical support or new updates to the product. 

MISCELLANEOUS: This agreement is governed by the laws of the State of Texas, Unitied States of America.  Licensee agrees to allow ICETIPS CREATIVE, INC. to list the licensee's entity name, city and state in ICETIPS CREATIVE's, INC.'s marketing materials without notice or recompense to licensee.  Any questions should be directed to ICETIPS CREATIVE, INC. at the address below.
